Terms & Conditions
Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the License Manager plugin and related services (the “Service”) made available via licensemanager.at (and associated domains). By purchasing, downloading, installing, activating, or using the Service (in whole or part), you accept these Terms. If you do not agree, do not use or install the Service.
Definitions
- “We,” “us,” “License Manager,” or “the Provider” means the entity offering the plugin, support, and services.
- “You,” “user,” or “customer” means the individual or legal entity who acquires, installs, or uses the Service.
- “Plugin” / “Product” means the License Manager software (core plugin, Pro version, modules, updates, patches).
- “License” means the rights granted to you under Section 4.
- “Support & Updates” means bug fixes, improvements, technical assistance, and version updates provided during the active licensing period.
Grant of License & Use Rights
- Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to install and use the Plugin on the number of WordPress / WooCommerce sites permitted under your license tier.
- You may not sublicense, resell, rent, lease, distribute, or transfer the Plugin (modified or unmodified) to third parties, unless expressly permitted in writing by us.
- The license includes entitlement to Support & Updates only while your license is active.
- Upon expiration, termination, or revocation of the license, your access to updates/support ceases. The Plugin may continue to function, but we provide no guarantee of future compatibility or support.
Fees, Payment & Renewals
- You agree to pay the fees as listed on our pricing page.
- Payments must be made using accepted payment methods.
- Licenses typically auto-renew unless disabled prior to renewal.
- We may change pricing, features, or plan structures; material changes will be notified in advance.
- If payment fails (expired card, etc.), we may suspend or disable your access to support and updates until resolved.
Refund & Cancellation Policy
- Refunds may be requested within 30 days (or shorter period, depending on plan) of purchase, consistent with what we offer.
- To qualify:
- You must contact us via support.
- You must deactivate and uninstall the Plugin from all sites.
- You must permit us to attempt troubleshooting prior to refund.
- You must contact us via support.
- Refunds will not be granted after the allowed period.
- We may refuse refunds if the Plugin functions as described and the issue is due to third-party conflicts.
- On cancellation, your license ends at period’s end; you lose rights to updates or support thereafter.
Delivery, Updates & Support
- After purchase, you receive download links, license key(s), and documentation.
- We provide updates (bug fixes, improvements) and technical support only during your active licensing period.
- We do not guarantee perpetual compatibility with all future WordPress, WooCommerce, PHP, or third-party plugin versions.
- Support covers issues arising from the Plugin itself; we are not liable for conflicts from your server environment, theme, or other plugins.
Intellectual Property
- The Plugin, source code, design, logos, documentation, branding, and associated intellectual property remain our property (or licensors’).
- You retain ownership of data and content you create via use of the Plugin (e.g. license records).
- You may not remove, alter, or obscure copyright notices, credits, or license verification mechanisms embedded in the Plugin.
User Obligations & Restrictions
You agree not to:
- Use the Plugin for unlawful or prohibited purposes.
- Reverse engineer, decompile, or disassemble the Plugin beyond legally allowed limits.
- Circumvent license verification or share license keys unlawfully.
- Use more installations/sites than permitted.
- Modify the Plugin in a way that breaks license or credit notices.
- Subject any infrastructure (if used) to undue load or misuse.
- Use the Plugin for unlawful or prohibited purposes.
Warranty Disclaimer & Limitation of Liability
- The Plugin is provided “as is” and “as available.” We disclaim all implied or express warranties (merchantability, fitness for a particular purpose, noninfringement).
- We do not warrant that the Plugin will be error-free or uninterrupted.
- To the maximum extent permitted by law, our liability (and that of affiliates, employees, agents) is limited to the fees you have paid.
- We are not liable for indirect, incidental, special, consequential, or punitive damages (loss of data, profits, business interruption, etc.).
- These limitations apply regardless of cause or legal theory, even if we knew the possibility of damages.
Indemnification
You will indemnify, defend, and hold harmless License Manager, its affiliates, employees, agents, and licensors from claims, liabilities, losses, damages, and costs (including attorneys’ fees) arising out of:
- Your use or misuse of the Plugin
- Your breach of these Terms
- Violation of any third-party rights
Termination
- We may terminate or suspend your license immediately if you breach these Terms.
- Upon termination, all rights granted to you cease.
- You must uninstall and delete all copies of the Plugin.
- Termination does not relieve you from obligations accrued prior to (payments, indemnification, etc.).
Changes to Terms
We reserve the right to revise or replace these Terms at any time. We will post updated Terms with a new “Last Updated” date. Continued use after changes constitutes acceptance.
Governing Law & Disputes
These Terms are governed by the global laws wherever applicable.
Severability & Waiver
If any provision is held invalid or unenforceable, that portion is severed; the remainder stays effective. Our failure to enforce a right is not a waiver.
Entire Agreement
These Terms, together with any policies (refund policy, privacy policy, documentation), constitute the entire agreement between you and us concerning the Plugin, superseding prior agreements or understandings.
Multiple Sites License Usage
Our multiple sites licensing plans are designed to support agencies, developers, and service providers who manage several client websites under their own brand. These licenses allow the use of our plugins on the specified number of client sites associated with the purchased plan.
Please note that these plans do not grant permission to white-label, resell, or repackage our plugins as a standalone product under another name or entity.
By purchasing and using a multiple sites license, you agree to respect these limitations and acknowledge that any use outside of the intended purpose—such as white-labeling, reselling, or redistribution—is strictly prohibited.
Lifetime License Policy
Here, “Lifetime” refers to the lifetime of the product, not the buyer’s lifetime or any other interpretation.
The product lifetime is defined as the period starting from when a product is first made available for sale until the point it is officially discontinued.
We reserve the full right to announce the end of a product’s lifetime at any time, with prior notice of 45–90 days.
